1. Agreement to Terms
By accessing and using the services of BrightLedger Accounting ("Company," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these terms, please do not use our services.
2. Services Description
BrightLedger Accounting provides professional accounting services including:
- Monthly bookkeeping and financial record maintenance
- Tax preparation and filing for individuals and corporations
- Payroll processing and remittance services
- Financial reporting and business advisory services
- Compliance support for Canadian tax regulations
All services are provided in compliance with Canadian accounting standards and tax laws.
3. Client Responsibilities
3.1 Information Provision
Clients must provide:
- Accurate, complete, and timely financial information
- All necessary documents and records
- Access to accounting systems and software as required
- Prompt notification of any changes affecting the engagement
3.2 Compliance
Clients are responsible for:
- Ensuring compliance with all applicable laws and regulations
- Reviewing and approving all work before submission
- Maintaining proper internal controls and documentation
- Payment of fees according to agreed terms
4. Professional Standards
Our services are provided in accordance with:
- Canadian Generally Accepted Accounting Principles (GAAP)
- Canada Revenue Agency (CRA) requirements
- Professional standards of CPA Canada
- Provincial regulatory requirements
We maintain professional liability insurance and adhere to continuing education requirements.
5. Fees and Payment
5.1 Fee Structure
Fees are based on:
- Complexity and scope of services
- Time required to complete work
- Agreed-upon fixed rates for standard services
5.2 Payment Terms
- Invoices are due within 30 days of issue date
- Late payments may incur interest charges of 1.5% per month
- Services may be suspended for overdue accounts
- All fees are in Canadian dollars
6. Confidentiality
We are committed to maintaining the confidentiality of your information:
- All client information is kept strictly confidential
- Information is only disclosed with client consent or as required by law
- Staff and contractors are bound by confidentiality agreements
- Secure systems and procedures protect your data
7. Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for the specific service
- We are not liable for consequential, indirect, or punitive damages
- Claims must be made within one year of discovery
- Our liability for any claim is limited to $50,000 CAD
Note: These limitations do not apply to gross negligence or willful misconduct.
8. Intellectual Property
Intellectual property rights are allocated as follows:
- Client Data: Remains the property of the client
- Work Product: Belongs to the client upon payment
- Methodologies: Our proprietary methods remain our property
- Templates: Our forms and templates remain our property
9. Termination
9.1 Termination by Client
Clients may terminate services with 30 days written notice. Payment for completed work and reasonable wind-down costs is required.
9.2 Termination by Company
We may terminate services for:
- Non-payment of fees
- Failure to provide required information
- Unethical or illegal client activities
- Professional conflict of interest
10. Force Majeure
We are not liable for delays or failures due to circumstances beyond our control, including but not limited to:
- Natural disasters or pandemics
- Government actions or regulations
- Technology failures or cyber attacks
- Labor disputes or supplier failures
11. Dispute Resolution
Disputes will be resolved through:
- Direct Discussion: Good faith negotiation between parties
- Mediation: Binding mediation if negotiation fails
- Arbitration: Final binding arbitration under Canadian law
All disputes are governed by the laws of Canada and the province where services are provided.
12. Amendments
These Terms may be updated periodically. Material changes will be communicated to clients with 30 days notice. Continued use of services constitutes acceptance of updated terms.
13. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
